Barry Manilow and Stiletto Entertainment are suing Hipgnosis Songs Fund for $1.5 million in unpaid bonuses from the sale of their catalog to the company in 2020, part of a nasty dispute between the parties. The complaint, filed in the US District Court of California and seen by Digital Music News, says the bonuses were due in connection with the purchase of Manilow’s catalog, alleging breach of contract, fraud and misrepresentation. careless Hipgnosis also alleged breach of contract, filing a lawsuit against Manilow last month. A company spokesperson told the Financial Times that “in discussions with Manilow’s representatives, it became clear that there was a difference in the meaning of certain clauses in the sales contract regarding bonus payments.” The purchase price, which both parties agreed to, included an upfront payment of $7.5 million, with two additional payments of $750,000 each, subject to Hipgnosis’ income from royalties earned reaching certain benchmarks. The suit alleges that Manilow’s songs “meet the necessary conditions to receive two additional payments of the $750,000 purchase price based on the revenue received” from Hipgnosis during those years, which it says ranged from $404,388 to $550,383 during each of the years in question.
